1. Acceptance of Terms

By accessing or using the DANA platform ("Service"), you agree to be bound by these Terms of Use and Legal Disclaimer ("Terms"). If you do not agree to all of these Terms, you must not use the Service. These Terms apply to all visitors, users, and other persons who access the Service.

2. Nature of the Service — Not Financial Advice

DANA is an information, research, and educational technology platform. All content, analysis, signals, backtests, commentary, and outputs generated by DANA — including those produced by the 21-Agent AI Council, machine learning models, and any other automated system — are provided for informational and research purposes only. Nothing on this platform constitutes financial advice, investment advice, trading advice, securities recommendations, or any other type of regulated financial service. DANA does not take into account your individual investment objectives, financial situation, needs, or risk tolerance. You should not act on any content from this platform without first obtaining independent professional financial advice appropriate to your circumstances.

3. No Liability for Financial Losses

To the maximum extent permitted by applicable law, DANA, its operators, founders, developers, employees, contractors, and affiliates ("DANA Parties") expressly disclaim all liability for any losses or damages of any kind, including without limitation: direct losses, indirect losses, consequential losses, loss of profits, loss of capital, trading losses, opportunity losses, data losses, or any other financial or non-financial harm arising directly or indirectly from: (a) your use of or reliance on any content, signal, analysis, or tool on the Service; (b) any inaccuracy, error, or omission in any content; (c) any delay, interruption, or unavailability of the Service; (d) any decision you make in connection with trading or investing based on content from the Service. Trading financial instruments, including equities, options, futures, and derivatives, involves substantial risk of loss. You may lose some or all of your invested capital. Past performance shown in backtests and simulations is hypothetical and does not guarantee, predict, or indicate future results.

4. No Guarantee of Accuracy or Service Continuity

DANA does not guarantee the accuracy, completeness, timeliness, reliability, or fitness for purpose of any content, signal, or data. The Service may be interrupted, modified, suspended, or discontinued at any time with or without notice. DANA Parties have no obligation to maintain the Service or provide notice of discontinuation.

5. Subscription Terms & Auto-Renewal

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to the following: (a) All subscription fees are charged in Australian Dollars (AUD). (b) Monthly subscriptions renew AUTOMATICALLY at the then-current price each calendar month until you cancel — you authorise DANA, via Stripe, to charge your payment method on each renewal date without further notice. (c) You may cancel your monthly subscription at any time from your account settings; cancellation stops future renewals and your access continues until the end of the current paid period. (d) If you started on a free trial, your subscription begins and the first charge is taken at the end of the trial period unless you cancel before it ends. (e) We will notify you by email of any change to your renewal price before it takes effect. (f) All payments are processed securely by Stripe. DANA does not store payment card details.

6. No-Refund Policy

Except for any rights you have that cannot be excluded under applicable law (see Clause 17 — Australian Consumer Law), all payments are non-refundable. This includes but is not limited to: (a) Monthly subscription payments, whether partial or full month. (b) Lifetime subscription payments. (c) Payments made during promotional or discounted periods. (d) Payments made by users who subsequently experience financial losses while using the Service. We strongly encourage you to use the 30-day free trial to evaluate whether the Service meets your needs before subscribing. Nothing in this clause limits any non-excludable guarantee, right, or remedy you may have under the Australian Consumer Law or other applicable consumer-protection law.

7. Lifetime Subscription — Important Notice

A "Lifetime" subscription grants you access to the Service for as long as the Service continues to operate in its current or substantially similar form. A Lifetime subscription does NOT: (a) guarantee that the Service will operate indefinitely; (b) obligate DANA to continue operating the Service; (c) entitle you to any refund, compensation, replacement service, or alternative product if the Service is discontinued for any reason, including but not limited to: commercial viability, regulatory requirements, technical failure, or the operator's voluntary decision to cease operations. If DANA discontinues the Service, all Lifetime subscribers lose access with no entitlement to compensation. By purchasing a Lifetime subscription, you acknowledge and accept this risk.

8. Free Trial

New registered accounts receive a 30-day free trial of the Pro plan features. No credit card or payment details are required to start a trial. At the end of the trial period, access reverts to the free tier unless a paid subscription is activated. The free trial is offered once per user. DANA reserves the right to modify, limit, or discontinue the free trial offer at any time.

9. Promotional Codes & Coupons

DANA may issue promotional codes or coupons at its discretion. Promotional codes are subject to specific terms stated at the time of issue. Codes cannot be combined unless explicitly stated. Discounts apply only to the subscription indicated. DANA reserves the right to cancel, modify, or expire promotional codes at any time without notice.

10. Not a Licensed Financial Service

DANA is not registered or licensed as a financial adviser, broker, dealer, investment manager, or any other regulated financial service provider in Australia or any other jurisdiction. DANA is not registered with ASIC, the Australian Securities and Investments Commission, nor with the SEC, FCA, or any other regulatory body. Users in Australia are advised that DANA does not hold an Australian Financial Services Licence (AFSL). If you are in any doubt about whether use of this Service is appropriate for your circumstances, seek independent legal and financial advice before proceeding.

11. User Responsibilities

By using the Service you represent and warrant that: (a) You are at least 18 years of age; (b) You have the legal capacity to enter into these Terms; (c) You understand that trading and investing involves risk of loss; (d) You will conduct your own due diligence before acting on any content from the Service; (e) You will not hold DANA Parties liable for any outcome resulting from your use of the Service; (f) You will comply with all applicable laws and regulations in your jurisdiction.

12. Intellectual Property

All content on the Service, including but not limited to the AI Council system, signal algorithms, backtest engine, blog content, podcast episodes, and visual designs, is the intellectual property of DANA and its operators. You may not reproduce, distribute, modify, or create derivative works from any content without prior written consent.

13. Privacy

DANA collects only the personal information necessary to provide the Service, including name, email address, and billing information processed by Stripe. We do not sell your personal information. Your email address may be used to send signal alerts and service notifications. You may unsubscribe at any time.

14. Modifications to Terms

DANA reserves the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.

15. Limitation of Liability

Subject to Clause 17 (Australian Consumer Law) and to the maximum extent permitted by law, the total aggregate liability of DANA Parties to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of: (a) AUD $0 (zero) for free-tier users; or (b) the total amount paid by you to DANA in the 30 days preceding the claim. This limitation applies regardless of the form of action and whether in contract, tort, negligence, strict liability, or otherwise. Where liability cannot lawfully be excluded but can be limited, our liability is limited (at our option) to re-supplying the relevant service or paying the cost of having it re-supplied.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, Australia for any dispute arising from these Terms or your use of the Service.

17. Australian Consumer Law

If you are a "consumer" under the Australian Consumer Law (ACL), our goods and services come with guarantees that cannot be excluded under the ACL. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the ACL or any other applicable law that cannot lawfully be excluded or limited. To the extent any provision of these Terms (including the No-Refund Policy, disclaimers, and Limitation of Liability) would contravene the ACL or be void under it, that provision applies only to the extent permitted by law, and the remaining provisions continue in full force. For major failures with a service you are entitled to the remedies available under the ACL. This clause prevails over any inconsistent provision in these Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and DANA regarding your use of the Service and supersede all prior understandings, representations, or agreements.
